Digital Music Distribution Agreement

Scope of Services

1. DivineEpic will distribute the Participant’s 100% original music digitally through:
    

• Streaming Platforms: Spotify, Apple Music, Amazon Music, YouTube Music, Tidal, Deezer, Boomplay, and others.
• Ringtone Platforms: JioSaavn, Wynk Music: and similar services.
   

1. DivineEpic does not accept the following types of content:

• Cover Songs: Any version of an existing song that is a reproduction of another artist’s work without proper licensing.
• Instrumental Tracks: Tracks that are instrumental versions or covers of existing songs.
• Samples from Other Songs: Songs that use pre-recorded audio samples from other artists or works without proper licensing or permission.
• Remixes of Other Artists' Work: Any remixes that use the original artist’s audio or are based on existing copyrighted works.
• Bootleg Recordings: Unauthorized live recordings or pirated content that has not been released or authorized by the original artist or label.
• Tribute Songs: Songs that replicate melodies or lyrics from existing copyrighted works without being original compositions.
• Parodies (without proper licensing): Parodies that do not meet fair use criteria or lack the necessary licenses.
• Classical Covers/Adaptations: Instrumental renditions of classical music that have not been re-arranged or re-composed in a completely original way.
• Sound-alike Tracks: Tracks that closely mimic or resemble an existing song to the point of being direct copies, even if slightly altered.

1. DivineEpic provides digital distribution only and does not offer physical distribution, promotional services, or artist management.
    

Agreement Duration

1. This Agreement will remain in effect for two (2) years from the signing date.
2. It will renew automatically for additional two-year terms unless terminated with 30 days’ prior written notice by either party.

Revenue and Payment Terms

1. Revenue Split: DivineEpic will retain a 30% commission on all revenue generated from streams, downloads, and ringtone sales.
2. First Payment: Payments will start after 3 to 4 months of the first release's revenue generation.
3. Subsequent Payments: Revenue will be paid monthly, provided the Participant’s accrued balance exceeds $100 USD. Balances below $100 will roll over to the next payment cycle.
4. Payments will be made through bank transfer or other mutually agreed methods.

Copyright and Content Responsibility

1. The Participant must ensure that all distributed content is 100% original and free from any copyright infringement or legal disputes.
2. If a copyright dispute arises:

• The Participant must resolve the issue within seven (7) days of notification.
• Unresolved issues will result in:
  1. Content removal from the platform.
  2. Hold on payments until the matter is resolved.

1. DivineEpic will not be held liable for any copyright claims or legal disputes.
    

Content Distribution and Removal

1. DivineEpic reserves the right to remove any content from its platforms that violates this Agreement or applicable laws, including any content that is not 100% original.
2. Content removal due to copyright, policy violations, or failure to meet the original content requirement will not entitle the Participant to compensation.

Identity Verification

1. To activate this Agreement, the Participant must provide the following:
    

• A valid Aadhaar Card number.
• A clear photograph of the Aadhaar Card for verification purposes.

1. DivineEpic reserves the right to terminate this Agreement if identity verification is incomplete or invalid.
    

Termination

1. Either party may terminate this Agreement with 30 days’ written notice.
2. Upon termination:
    

• DivineEpic will cease distribution of the Participant’s music.
• Payments will be processed in the next cycle, provided the $100 threshold is met.
   

Limitation of Liability

1. DivineEpic will not be responsible for:

• Loss of revenue due to platform outages or other technical issues.
• Legal disputes concerning the Participant’s content.
   

Governing Law

1. This Agreement is governed by and construed in accordance with the laws of India.
2. Any disputes will be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
